Disney To Acquire Marvel Entertainment for $4 Billion

According to the New York Times (via Topless Robot), Disney has agreed to acquire Marvel Entertainment for $4 billion in cash and stock. This deal gives Disney rights to over Marvel’s 5,000+ characters, not to mention control over Marvel’s licensing, publishing, and film production capabilities.

This acquisition is interesting for many reasons, not the least of which is that one year ago Marvel re-upped its contract with Paramount to distribute its next five films, including Iron Man 2, The Avengers, and Thor, among others. Furthermore, there are a plethora of loose ends, licensing-wise, that Disney will have to contend with before this deal starts to show its true worth.

Undoubtedly, the effects of this massive shift in the entertainment industry will be felt for quite some time. This is one of the largest acquisitions in Disney’s recent history, surpassed only by its acquisition of Pixar for $7.4 billion in 2006 (and I think it’s safe to say that deal had a pretty significant impact on both companies involved).

Burbank, CA and New York, NY, August 31, 2009 —Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (NYSE:DIS) has agreed to acquire Marvel Entertainment, Inc. (NYSE:MVL) in a stock and cash transaction, the companies announced today…
“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.

“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

What the Disney/Marvel Deal Means: Will Pixar Develop Marvel Superhero Films?

As you’ve probably heard by now, The Walt Disney Company is in the process of acquiring Marvel for $4 billion. But what does this mean for the future of Marvel Comics and Marvel Films? Disney CEO Bob Iger responded to questions on a confrence call this morning, and here is some of the information that you need to know.

Disney CEO Bob Iger said the company didn’t plan on interfering much with any of the in-development Marvel movies, using the term “If it ain’t broke.” All of the creative control will remain in the hands of the people who know the Marvel Universe best: the people at Marvel.

Disney’s acquisition does not effect the deals for movies in place at other movie studios, such as Spider-Man and X-Men at 20th Century Fox.
Paramount still holds to rights to distribute up to five Marvel films, including: Iron Man 2, Thor, Captain America, The Avengers and possibly one more unannounced film.


There are still existing deals in which other studios hold the big screen rights to certain characters.
But after those deals expire, Disney “want to be sole distributor of these films.”
On the possibility of Pixar developing a future Marvel films? “We’ve talked about this internally. Pixar boss John Lasseter talked to the Marvel guys about this and they all got excited about it. We think there’s ultimately some exciting product that come of that. Sparks will fly!” Sounds like Lasseter is very interested at the possibility.

Disney also plays to “be exploiting more lesser-known characters.”
It is unclear what Marvel’s deal looks like with Universal Studios, but it’s hard to imagine that Disney isn’t interested in the theme park rights to the Marvel Universe.
And I have to include this out of context unintentionally funny quote from Iger telling CNBC how they hope to attract more young boys: “We’d like love to attract more boys, and we think Marvel’s skew is more in boys’ direction. Although there’s a universal appeal, we think, to a lot of their characters and a lot of their story. Just look at Spider-Man and Iron Man films. This is a great fit. But we obviously know Disney has a lot of products that are more girl-skewed than boy. And we’d like the opportunity to go after boys more aggressively.”

Disney also owns Miramx and doesn't stop them from producing violent/sexual themed movies.

I doubt that Disney wants to incorporate the Wolverine into the Disney Channel. They probably just wanted to buy up a valuable liscensing property.

So now it's Warner Bros/DC vs Disney/Marvel.

and I'm sure there will be no more Punisher movies.....that's weak sauce cuz,

Hell ya that movie is the fuckin shit!
I saw it in the theater an there was only like 4 people total tho, can't handle the gore!

ComingSoon.net is attending Disney's D23 Expo at the Anaheim Convention Center and got a chance to talk to Walt Disney Company President and CEO Bob Iger about the recent acquisition of Marvel Entertainment:

Iger stressed the notion that fans can expect Marvel to continue to operate as it has.

"We're not planning on any 'Disneyfication' of Marvel," said Iger, "...Our intention is to keep Marvel as an entity."

Iger went on to explain that he has met with a great many Marvel talents and that, like the acquisition of Pixar, Disney's primary goal is to stay on the sidelines and let the artists do what they do best.

He did admit that he was excited about the chance for some cross-pollination in the future, though nothing is planned as of yet.

Iger reiterated that part of what is so intriguing about Marvel is that the deal is designed to play out in the long run, having characters that "transcend gender and age." In the short term, Disney just has to wait until some of the Marvel deals already in place with other studios and theme parks "work their course" and, until then, "there isn't much planning to be done."
