There wont be a difference in quality because you can't upconvert and have it truly at that quality.

If you have an mp3 that is 128 and you convert to 320 all you'll get is a bigger file, same quality. If you take a real cd and put it on your computer at 320 it will be bigger than a 128 mp3 and will have less compression which means better sound. Most people can't tell the difference between 192 and 320 though unless you have really good speakers and a real keen ear.
